The Federal, State, Local and International Tax Matters group provides counseling in matters involving local, state, federal, and international taxation issues. We provide advice to clients regarding the tax implications of the formation, operation, purchase, and sale of sole proprietorships, joint ventures, partnerships, registered limited liability partnerships, limited liability companies, and corporations in the fields of real estate, oil, gas, and other natural resources, manufacturing, and other lines of business. Tax group attorneys also provide tax advice regarding mergers and acquisitions, corporate reorganizations, financing transactions, the activities of tax‑exempt entities and foundations, bankruptcy tax matters, and the formation of foreign businesses by United States taxpayers. Additionally, we provide advice to foreign individuals and businesses that are interested in engaging in business in the United States.
Our clients call on us for representation and counsel in civil and criminal tax litigation matters and disputes before the United States Tax Court, all Federal courts, and the Internal Revenue Service. In addition, we represent clients in both administrative proceedings and in litigation regarding state and local tax matters including those relating to income, franchise, sales, use, ad valorem, occupational license, and severance taxes.
