Marshall Page is the leader of the firm's Business & Commercial Transactions Practice Group. His practice focuses on commercial and investment transactions, corporate finance, and mergers and acquisitions (M&A).
Mr. Page's commercial transactions experience includes joint ventures; aircraft purchases, sales, leases, and charters; and the purchase, sale, transportation, and terminaling of products and feedstocks.
His investment transactions experience includes private equity investments, representing sponsors/general partners to create investment funds, and leveraging economic development incentives, including federal and state tax credits. Mr. Page has extensive experience with tax credit finance, including work with certified capital company (CAPCO), historic rehabilitation, state and federal New Markets Tax Credits (NMTCs), and film and video tax credits.
Mr. Page's corporate finance transactions include traditional credit facilities, project finance, structured finance, and acquisition facilities.
Mr. Page's mergers and acquisitions experience involves primarily non-public small and middle market companies in a number of industries, including various segments of the energy industry.
Some of his recent representative transactions include:
- CenturyLink, Inc. (NYSE), as borrower in connection with its credit facility transactions
- Enhanced Capital Partners, Inc., as sponsor in connection with tax credit finance transactions (including as CDE/Allocatee counsel for two New Markets Tax Credit allocations aggregating $85 million)
- MountainView Capital Holdings, LLC, as sponsor/general partner in two equity funds that raised over $150 million
- Investment funds, private individuals, and family offices in private equity investment transactions
- Chevron-Phillips Chemical Company, LP, in several M&A transactions
- Freeport-McMoRan Copper & Gold Inc. (NYSE) and PT Freeport Indonesia, its subsidiary, in connection with their aircraft transactions, including purchases, sales, leasing, and chartering
