Richard Wolfe is a partner in the firm's Corporate & Securities Practice Group. Mr. Wolfe has more than 50 years of experience in corporate, securities, and merger and acquisition transactions, and has represented a number of public companies as lead counsel in such transactions.

Mr. Wolfe's practice has involved counseling public and private companies on a wide variety of corporate matters, including initial and subsequent public equity offerings, tender offers, proxy contests, venture capital transactions, domestic and cross-border mergers and acquisitions, private offerings of securities, director indemnification and D&O insurance, spin-offs, and special litigation committees in derivative shareholder suits. He has broad experience in negotiating and drafting a range of corporate and securities documents. 

Mr. Wolfe served as a member of the 15-member Corporations Committee of the Louisiana State Law Institute, which drafted the 2014 Louisiana Business Corporation Act. He is the author of an article entitled "The Fiduciary Duty of Directors and Officers Under the Louisiana Business Corporation Act of 2014" published at 60 Loyola Law Review 523 (2014).

Prior to joining the firm he headed the corporate department at the New Orleans law firm of Monroe & Lemann, where he practiced for 33 years. He is a native of Mississippi.
