Monique Cenac joined Jones Walker's Corporate & Securities Practice Group as an associate in 2002 and was elected to partner in 2009. Ms. Cenac's practice focuses on the representation of public companies with an emphasis on U.S. Securities and Exchange Commission (SEC) reporting, corporate governance compliance, corporate finance, and mergers and acquisitions.

Since 2004, Ms. Cenac has assisted in the representation of a group of public companies that share managerial and administrative resources, and with whom Jones Walker has a full-service legal partnering relationship. Ms. Cenac provides ongoing corporate and securities law advice to public companies, including compliance with the corporate governance requirements of the securities laws and trading markets; reviewing Form 10-Ks, 10-Qs, 8-Ks, proxy statements, and press releases; coordinating compliance with insider trading policies and ethics and business conduct policies; and handling Sarbanes-Oxley (SOX) compliance and board and executive compensation matters. Ms. Cenac's experience also involves handling a variety of corporate finance transactions, including privately induced conversions, tender offers, and public and private equity and debt securities offerings.

Ms. Cenac has handled a variety of transactions, including:

  • A $750-million at-the-market common stock offering for a Fortune 500® Company
  • A $176-million equity financing through the issuance of common stock and convertible perpetual preferred stock for a publicly traded oil and gas company
  • $725-million equity financing through the issuance of common stock, mandatory convertible preferred stock, and senior notes for a publicly traded oil and gas company
  • A tender offer of $293 million of convertible senior notes

She also represented one of the world’s largest publicly traded mining companies in its $26-billion acquisition of another publicly traded mining company, which resulted in the largest M&A transaction in the history of the mining industry.
