    Monique Cenac is a partner in Jones Walker’s Corporate & Securities Practice Group. She joined Jones Walker in 2002 and was elected to partner in 2009. Ms. Cenac’s practice focuses on the representation of public companies with an emphasis on U.S. Securities and Exchange Commission (SEC) reporting, corporate governance, corporate finance, and mergers and acquisitions. Since 2004, Ms. Cenac has played a critical role in the representation of a group of public companies that share managerial and administrative resources, and with whom Jones Walker has a full-service legal partnering relationship.

    Ms. Cenac provides ongoing corporate and securities law advice to public companies and their boards of directors regarding compliance with the corporate governance and disclosure requirements of the securities laws and trading markets. Her experience includes reviewing Form 10-Ks, 10-Qs, 8-Ks, and press releases; beneficial ownership reporting; handling SEC comment letters; handling board and executive compensation matters, including drafting proxy statements; handling annual and special meetings of stockholders; handling stock splits; providing advice regarding NYSE, NASDAQ and OTCQX listing and corporate governance requirements; coordinating compliance with insider trading policies and ethics and business conduct policies; and handling matters relating to proxy contests and activist investors, including implementing anti-takeover defenses. She also has experience with the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

    Ms. Cenac’s experience also involves handling a variety of corporate finance transactions, including public and private equity and debt securities offerings, tender offers, redemptions, registered exchange offers, 3(a)(9) debt for equity exchanges, and privately negotiated induced conversions.

    Highlighted representative transactions include:

    • Two $1 billion at-the-market common stock offerings for a Fortune 500® Company
    • Representation of a Fortune 500® Company in the $45 million sale of a division
    • Registered exchange offer of $6.5 billion aggregate principal amount of senior notes
    • Redemption of $1 billion of senior floating rate notes
    • A $750 million at-the-market common stock offering for a Fortune 500® Company
    • A $176 million equity financing through the issuance of common stock and convertible perpetual preferred stock for a publicly traded oil and gas company
    • A $725 million equity financing through the issuance of common stock, mandatory convertible preferred stock, and senior notes for a publicly traded oil and gas company
    • A tender offer of $293 million of convertible senior notes for a Fortune 500® Company
    • Assisted in the representation of one of the world’s largest publicly traded mining companies in its $26 billion acquisition of another publicly traded mining company, which resulted in the largest M&A transaction in the history of the mining industry at the time

    Ms. Cenac was named a BTI Client Service All-Star in 2016 and has been named a “Rising Star” in the area of Securities & Corporate Finance in Southwest Super Lawyers annually since 2014, and in Louisiana Super Lawyers in 2012 and 2013.

    She is admitted to the bars of Arizona and Louisiana, and is a member of the American Bar Association, the Arizona State Bar Association, and the Louisiana State Bar Association. She has been an active member of the Society for Corporate Governance since 2008 and currently serves as Vice President of the Phoenix Chapter.

    She earned her J.D., Order of the Coif, in 2002 from the Paul M. Hebert Law Center, Louisiana State University, and her B.S. in Business Administration, cum laude, in 1999 from Louisiana State University.
