Sandy Kaynor joined Jones Walker in 2008, after 5 years as a partner at Ropes & Gray in NYC in the firm's private equity and corporate departments and 17 years prior to that as a partner in the corporate department of Jones, Day, Reavis & Pogue in NYC and an associate at White & Case in NYC. He is a special counsel in Jones Walker's Corporate and Securities Practice Group and practices from the firm's New Orleans office.
Mr. Kaynor primarily represents private equity and other financial investors and their portfolio companies, as well as corporate targets, in investment and M&A transactions involving private equity and other financial firms. He also represents private equity firms in fund formation activities. Private equity clients have included Welsh Carson, Bain Capital, Silverlake Partners, Texas Pacific Group, Apax Partners, Audax Partners, WR Huff, Verax Capital, Saunders, Karp & Megrue, US Equity Partners, McCown DeLeeuw, Carlyle/Riverstone, Metalmark Capital and Morgan Stanley Capital Partners. More specifically, Mr. Kaynor's transactional practice includes representing buyers, sellers, and management groups in public and private mergers, stock and asset acquisitions, recapitalizations, restructurings, formation and termination of joint ventures and other strategic alliances, going-private transactions, and non-control investments. Target investments for clients have included early and accelerator stage investments, as well as leveraged buyouts of more mature companies in a range of industries, including industrial composites, minerals and natural resources, midstream energy, shipping, chemicals, insurance and financial services, health care, media, telecommunications, and technology.
Prior to practicing law, Mr. Kaynor traded government repurchase agreements and was responsible for other liability management activities at Morgan Stanley & Co., Inc.
Sandy received a B.A. from Yale University in 1981, a J.D. from Northwestern University School of Law in 1987, and an MBA from the A.B Freeman School of Business at Tulane University in 2007.

- Counsel for Enterprise Products Partners in Louisiana in connection with acquisition of natural gas gathering, transportation and processing from State Line Gathering Systems, LLC and affiliates.
- Counsel for Enterprise Products Partners and Enterprise Marine Services in connection with acquisition of all degassing, fleeting, storage and other shipyard businesses and related vessels of Cenac companies and affiliates.
- Counsel for Enterprise Products Partners and Enterprise Marine Services in connection with sale of bunkering fleet and related fleeting, degassing and storage operations to Kirby Inland Marine, LP.
- Counsel for TEPPCO Marine Services in connection with acquisition of bunkering fleet and related fleeting, degassing, and storage operations from TransMontaigne Products (Morgan Stanley Capital Group portfolio company).
