John Gant is a partner in the firm's Business & Commercial Transactions Practice Group and practices from the firm's Birmingham office. His practice focuses primarily on the areas of mergers and acquisitions, corporate, and tax law.

Mr. Gant represents both acquiring and target companies in planning, structuring, and executing business acquisitions and combinations, including representation of both closely held and publicly held businesses; tax-free mergers and reorganizations; stock acquisitions; asset purchases; venture capital investments; leveraged buyouts; and joint ventures. He advises clients with initial legal planning and analysis, developing appropriate structures, negotiating letters of intent, conducting due diligence, negotiating definitive agreements, documenting and closing transactions, and providing legal direction in post-closing matters. The transactions and clients with which Mr. Gant has been involved encompass a wide range of industries, including manufacturing, telecommunications, construction, timber products, industrial distribution, healthcare, mining, textiles, equipment leasing, and banking.

In addition to his M&A practice, Mr. Gant also has significant experience in tax law, and provides tax planning for a broad range of businesses and individuals regarding federal, state, and local taxes. His tax clients include publicly held companies, affiliated corporations filing consolidated returns, closely held corporations, limited and general partnerships, Subchapter S corporations, limited liability companies, private foundations, and nonprofit entities. He also represents clients in connection with audits and other controversies with the Internal Revenue Service (IRS) and state taxing authorities, including litigation as required, and provides personal tax, trust, and estate planning advice to individuals.
