Will Waring is a partner in the firm's Business & Commercial Transactions Practice Group and leads Jones Walker's Healthcare Industry Group. Mr. Waring's practice focuses on business formations, governance design, business transactions, an extremely wide range of contractual arrangements, healthcare business operational matters, strategic and tactical planning and a variety of healthcare regulatory matters (including the Anti-Kickback Statute and the Stark Law).

Prior to joining Jones Walker, Mr. Waring held several executive-level positions at various healthcare systems throughout southeast Louisiana. Most recently, he served as Senior Vice President of North Oaks Physician Group, LLC (the "Group").  In that role, Mr. Waring was responsible for all day-to-day business operations of this large physician group practice affiliated with the North Oaks Health System (the "System") in Hammond, Louisiana.  He was also responsible for the Group's regulatory compliance, quality, risk management and safety activities. Mr. Waring also negotiated, drafted and operationalized numerous physician contractual arrangements (including Employment Agreements and Medical Director Agreements). He also developed a standardized Fair Market Value/Commercial Reasonableness System that was used to assure regulatory compliance in connection with physician compensation arrangements. Mr. Waring played a pivotal role in the implementation of the Epic electronic medical record system within the Group and later across the System. He was also instrumental in the development of a progressive Physician Shared Governance System for the Group and was also deeply involved in the development of a variety of pay for performance initiatives with commercial payors.

In his healthcare regulatory practice, Mr. Waring advises clients on a broad array of federal and state healthcare regulatory compliance issues, including matters involving provider Medicare and Medicaid Conditions of Participation, the new compliance elements of the Patient Protection and Affordable Care Act ("PPACA" or "ACA"), the Healthcare Quality Improvement Act, provider licensure issues, mid-level provider matters and other related laws. He works closely with clients to develop and implement governance systems and compliance plans, policies and training programs.

Mr. Waring also advises clients on Meaningful Use of electronic medical record systems, RAC and CERT audits, the Physician Quality Reporting System (PQRS), and the Bundled Payments for Care Improvement initiative, and Co-Management Arrangements.

Mr. Waring counsels healthcare organizations and providers on the full spectrum of transactional issues, including entity creation and formation, mergers and acquisitions, and procurement of licenses and certifications. From an operational perspective, Mr. Waring guides clients through the development of organizational governance systems and the negotiation of contractual relationships, including employment agreements, medical director relationships, group purchasing organization agreements and provider agreements. His deep healthcare operational experience includes all aspects of creating and managing organizational support systems, such as strategy/tactics, the design and operationalization of new delivery organizations, finance, the revenue cycle, operating expense management through standardization of operating systems and practices, regulatory compliance, human resources and governance.

Mr. Waring is also an experienced healthcare litigator and has represented individuals and entities in commercial disputes and law enforcement matters involving professional liability and medical staff peer reviews.

In addition to his juris doctor degree, Mr. Waring also earned a master's degree in Healthcare Management from the Tulane School of Public Health and Tropical Medicine. He is an adjunct assistant professor at Tulane University School of Medicine where he lectures on health law topics, and is also an Adjunct Assistant Professor at Tulane University School of Public Health and Tropical Medicine.
