David R. Roth draws on his extensive in-house and private-practice experience to counsel energy and corporate clients in a broad range of transactions and financings. Prior to joining Jones Walker, Mr. Roth served for more than a decade as general counsel of Northern Star Generation LLC, a private-equity owned power generation company with operations across the United States. Previously, he was assistant general counsel at Dynegy, an international, publicly-owned provider of power, capacity and ancillary services, where he headed the Finance and Corporate Transactions legal group.

In addition, Mr. Roth counsels clients on data security and privacy issues from the perspective of corporate management and transactional planning. His practice focuses on liability avoidance, management oversight, and transactional management from the perspective of both buyers and sellers. 

In his private practice, Mr. Roth has represented Fortune 100 and other clients in the development, leasing, construction and management of energy-related projects; mergers, acquisitions and dispositions; corporate, project and structured financings; private placements of debt and equity; initial public offerings; and mezzanine loans and other hybrid debt-equity transactions. He also provides counsel on distressed projects and debt workouts, as well as regulatory issues, including Federal Energy Regulatory Commission (FERC), North American Electric Reliability Corporation (NERC), and Hart-Scott-Rodino antitrust compliance.

Mr. Roth’s clients include leading members of the energy industry involved in electric power, onshore and offshore oil and gas exploration and production, transportation and pipelines, liquefied natural gas (LNG) processing and transportation, and ancillary services such as equipment supply and seismic analysis. He has also advised businesses with interests in the retail, telecommunications and manufacturing industries.

Mr. Roth is a contributing editor to Thomson Reuters' PracticalLaw.com in the areas of Equitable Remedies and Cumulative Remedies in Texas contract law.
