Richard Wolfe is a partner in the Corporate Practice Group. He counsels clients on corporate, securities, and executive compensation matters.
Mr. Wolfe has more than 50 years of experience representing public companies as lead counsel in corporate, securities, and merger and acquisition transactions. He also has broad experience negotiating and drafting a range of corporate and securities documents.
Mr. Wolfe regularly advises public and private companies on a wide variety of corporate matters, including initial and subsequent public equity offerings, tender offers, proxy contests, venture capital transactions, domestic and cross-border mergers and acquisitions, spin-offs, private offerings of securities, and director indemnification and D&O insurance. He also represents special litigation committees in derivative shareholder suits.
As one of the 15 members in the Corporations Committee of the Louisiana State Law Institute, Mr. Wolfe played a key role in drafting the 2014 Louisiana Business Corporation Act.
Prior to joining Jones Walker, Mr. Wolfe headed the corporate department at the New Orleans law firm of Monroe & Lemann, where he practiced for 33 years. He is a native of Mississippi.
