Ken Najder represents public and private companies regarding a variety of corporate and securities law matters, with an emphasis on mergers and acquisitions, corporate finance, venture capital transactions, corporate reorganizations, and corporate governance. In recent years, he has represented a wide array of buyers and sellers of businesses, ranging from small privately-held ventures to large publicly-traded companies, in several industries, including the telecommunications, technology, chemical, media, shipping, ship construction, food, oil and gas, energy, consulting, banking, financial services and manufacturing industries. Mr. Najder’s recent securities law practice has focused principally on (i) counseling public companies regarding their disclosure obligations, (ii) private placements for venture-stage companies, and (iii) secondary public offerings, with a particular emphasis on public debt issuances. Mr. Najder has provided counsel on a broad range of corporate law and governance issues, including acting as board counsel to public and private companies, providing Sarbanes-Oxley counseling, implementing shareholder rights plans and other anti-takeover defenses, and advising as to matters of executive compensation and corporate restructurings. He also has extensive experience with the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Mr. Najder joined Jones Walker in 1985 and became a partner in 1992.

Mr. Najder and Jones Walker were featured in The American Lawyer as architects of CenturyTel's anti-takeover measures thwarting Alltel's hostile bid.
