Asher Friend is a partner in the firm's Corporate & Securities Practice Group and practices from the firm's New Orleans office. His practice is mainly transactional, concentrating on the areas of securities law, mergers and acquisitions, and general corporate law.

Mr. Friend represents clients at each stage of the growth cycle, from start-up, privately owned companies to mature publicly-traded companies. He has extensive experience in public and private offerings of debt and equity securities, M&A transactions, as well as assisting clients with a myriad of corporate governance and related disclosure matters (including assisting with the preparation, review and filing of Forms 10-Ks, 10-Qs, 8-Ks, proxy statements, and press releases).

Mr. Friend is a native of Rockville Centre, New York.

Representative Matters

M&A Transactions:

• Represented a privately held food product and service company in the sale of tangible and intangible assets of its water bottling and distribution business
• Represented a privately held food product and service company in the acquisition of tangible and intangible assets related to the production and distribution of selected business segments from affiliates of a publicly traded food and beverage company
• Represented selling stockholders in a stock sale to a publicly traded electric distribution and transmission services company
• Represented a privately held surgical suite directed sales company in a stock sale to a Japan-based international product distribution company
• Represented the existing management of an energy investment boutique in the acquisition of its common stock from a publicly traded diversified global financial services holding company
• Represented privately held technology company in the sale of its satellite and radio frequency-based assets to strategic publicly traded purchaser
• Represented publicly traded national provider of home health and hospice services in multiple acquisitions of privately held home health and hospice organizations throughout North America

Securities Offerings:

• Represented a publicly traded offshore exploration and production company in the simultaneous public offerings of common stock, preferred stock, and senior notes
• Represented a publicly traded oilfield services company in a public offering of common stock and the simultaneous repurchase of common stock
• Represented a publicly traded oilfield services company in a tender offer for outstanding senior notes and the follow-on issuance and exchange of senior notes
• Represented a publicly traded death care service provider in a tender offer for outstanding senior subordinated notes and the follow-on issuance and exchange of senior notes
• Represented a publicly traded community bank holding company in a private placement of common stock
• Represented a publicly traded marine construction services company in a private placement of common stock and a public offering of common stock
• Represented publicly traded diving and offshore construction company in secondary offerings of common stock owned by its former parent corporation
