Miriam Wogan Henry, a partner in the Tax Practice Group in the New Orleans office, spoke on the ALI-CLE Estate Planning for Business Owners live webcast on October 16, 2025. Miriam co-led the presentation, "Effective Governing Documents and Buy-Sell Strategies," in which she discussed critical provisions in governing documents such as transfer restrictions, buy-sell agreements, drag-along and tag-along rights, call and put options, and tax provisions. She also discussed recent developments under IRC Section 2704(b), valuation procedures, and a review of ACTEC’s Model Shareholder Agreement to safeguard family and business interests.
