David Valenti is a partner in the Corporate Practice Group, where he advises companies on securities, mergers and acquisitions, and general corporate matters at every stage of growth, from inception through public offering or sale.
David draws on more than two decades of experience advising companies across every stage of growth, from inception through public offering or sale. He has served as both outside counsel with national law firms and in-house counsel to organizations ranging from startups to Fortune 50 companies — a dual vantage point that shapes how he guides clients through complex business and legal decisions and builds lasting relationships along the way.
David’s practice encompasses securities and commodities regulation, initial public offerings, public and private securities offerings, mergers and acquisitions, real estate acquisitions and dispositions, corporate restructuring, and general corporate matters. He has worked across a broad range of industries, including software, optical, networking, ecommerce, semiconductor production, telecommunications, medical devices, biotechnology, manufacturing, defense, aviation, and real estate investment trusts.
David has extensive experience advising on transactions ranging from middle-market deals to transactions valued at up to $12 billion. He has advised a healthcare technology company on its sale to a private equity buyer, represented administrative agents in structuring and negotiating mezzanine lending facilities, and served as counsel to a venture capital group in the fund formation, financing, and acquisition of a specialty construction materials manufacturer. At Jones Walker, he regularly advises middle-market companies and private equity sponsors as part of the team’s full-service corporate and outside/general counsel practice.
