Victoria Bagot is a partner in the Corporate Practice Group. She advises public and private companies, financial institutions, and private equity sponsors on a broad range of corporate, securities, capital markets, merger and acquisition, and corporate governance matters.

Victoria has extensive experience representing issuers and underwriters in complex capital markets transactions, including initial public offerings, follow-on equity offerings, debt offerings, private placements, tender offers, and other strategic financing transactions. She counsels clients throughout the capital-raising life cycle, from transaction structuring and execution to ongoing reporting and compliance obligations. She regularly assists clients in evaluating and executing transformative transactions that support their strategic and growth objectives.

Victoria also serves as a trusted advisor to public companies on securities law compliance, disclosure obligations, and corporate governance matters. She regularly counsels boards of directors and management teams on corporate law matters, fiduciary requirements, Securities and Exchange Commission (SEC) reporting requirements, stock exchange compliance, proxy statement and annual meeting matters, insider trading and Regulation FD issues, and other governance-related considerations. She routinely reviews and advises on annual, quarterly, and current reports, proxy statements, registration statements, and other SEC filings, and assists companies in developing and maintaining effective compliance policies and procedures.

Prior to joining Jones Walker, Victoria was an associate in the capital markets and mergers and acquisitions practice group in the Houston office of an Am Law 100 firm.
