William Mayo is special counsel in the Corporate Practice Group, where he advises public and private companies on mergers and acquisitions, corporate governance, and general corporate matters.


William represents clients on a broad range of strategic transactions and corporate matters, with a focus on mergers and acquisitions involving private equity funds, portfolio companies, and strategic buyers and sellers. He advises privately held and publicly traded companies across multiple industries, including financial services, real estate investment trusts (REITs), manufacturing, wealth management, technology services, and healthcare. His practice encompasses public and private mergers and acquisitions, investment transactions, securities offerings, and other corporate initiatives.

Among other engagements, William has represented clients in complex platform acquisitions and add-on transactions, including matters involving therapy staffing companies, promotional products distributors, technology advisory services firms, HVAC equipment distributors and manufacturers, digital marketing agencies, and wealth management firms. He has advised private equity funds and their portfolio companies throughout the transaction life cycle, from initial structuring and due diligence through negotiation, documentation, and closing.

William also counsels clients in the financial services sector, including depository institutions and bank holding companies. He has represented clients acquiring banks through merger transactions and provided guidance on navigating subsequent state and federal regulatory approval processes, and advised financial services firms on strategic collaborations, internal reorganizations, and the establishment of holding company structures. In addition to his transactional practice, William has advised public companies on securities law compliance, periodic reporting requirements, and corporate governance.

William's academic background includes extensive legal and business training. In addition to earning his JD from Vanderbilt University Law School, he earned a master's degree in finance from Vanderbilt's Owen Graduate School of Management and a bachelor's in accountancy from the University of Mississippi, where he graduated magna cum laude from the Sally McDonnell Barksdale Honors College. This combination of legal, finance, and accounting education enables him to approach complex corporate transactions with legal precision and business acumen, helping clients evaluate the financial and strategic dimensions of their most important business decisions.
