Partner Alex Layfield and associate Emily Degan, members of the Corporate Practice Group, co-authored an article for the June/July 2022 issue of the Louisiana Bar Journal, titled "La. 3rd Circuit Puts the 'Fair' Back in Fair Value." Alex and Emily address the outcome of a Louisiana 3rd Circuit case in which the court reversed downward adjustments in the determination of fair value of shares in an oppressed shareholder lawsuit. Alex and Emily also explain the difference between fair value and fair market value and the court's reasoning for the reversal of the adjustments.
