Jones Walker’s Commercial Transactions Team negotiates sophisticated national and international commercial contracts of all types across multiple industries. In particular, we have extensive experience in the areas of energy/natural resources, project development, intellectual property, general contracting, transactional diligence, regulatory compliance, structured settlements, and partnership unwindings across the energy/petrochemical, industrial, gaming, manufacturing, international trade, insurance, healthcare, banking, and financial sectors. Our transactional depth and breadth includes private aviation transactions, distribution, Native American law, food service, hospitality, entertainment, and sports law.
Our lawyers regularly work with companies on the contracts critical to their day-to-day operations, including supply, service, transportation, construction, and consulting agreements. We have prepared suites of form documents for numerous companies, including for large overseas projects and for multi-state operations. This advice includes assisting clients with contract interpretation, reviewing and analyzing proposed contracts, negotiating contracts on behalf of clients, drafting or revising contracts, assisting clients with the implementation and enforcement of contract terms and conditions, and terminating the contract relationship. These contracts may arise in the context of a client rendering or providing services or products to third parties or in the context of a client receiving services or products from a third party.
We also serve clients as outside general counsel, providing advice and document preparation for varied commercial arrangements. We will, on occasion, second lawyers to clients when in-house support is temporarily insufficient.
