Jones Walker LLP recently advised Sumitomo Corporation of Americas (SCOA) on its strategic investment in Strategic Biofuels’ Louisiana Green Fuels (LGF) project and the establishment of Magnolia Sustainable Energy Partners (M-SEP), a newly formed Japanese-based investment consortium created by SCOA and JX Nippon Oil & Gas Exploration.
The firm conducted due diligence on the potential investment and negotiated a joint development agreement between SCOA and Strategic Biofuels LLC and Louisiana Green Fuels LLC, a Keep-It-Simple-Security agreement between SCOA and Louisiana Green Fuels LLC, and a consortium agreement between SCOA and JX Nippon. Partners Cindy Matherne Muller, Tom Roberson, and Adam Matasar led a multidisciplinary team that included Marjorie McKeithen, Lara Pringle, Marshall Page, Ted Jones, Remy Donnelly, Meghan Smith, Justin Marocco, Alex Prochaska, Det Beal, and Will Mallery in completing the transaction.
The M-SEP investment will advance the LGF project, an ultra-low-carbon, negative sustainable aviation fuels plant, at the Port of Columbia in Caldwell Parish, Louisiana.
