Jennifer Hamer is a partner in the Corporate Practice Group. She is a transactional attorney with a broad business practice in energy, real estate, and finance transactions.


Jennifer’s practice focuses on the development, operation, and finance of energy infrastructure and real estate projects. Her energy practice includes onshore and offshore oil and gas development, as well as representation of companies in transactional, regulatory, permitting, and contractual matters.

On the project finance side, Jennifer has represented borrowers and lenders as local counsel and real estate counsel in connection with financing for the development of infrastructure projects, including petrochemical facilities, interstate and intrastate pipeline systems, hydrocarbon storage projects, electrical power projects, major industrial projects, and LNG facilities. She also provides advice to developers and investors in each phase of their commercial real estate projects, from initial planning and acquisition through title review, due diligence, financing, and development. Jennifer advises landlords and tenants in preparing and negotiating commercial leases, including retail, office, and industrial.  

Jennifer worked previously with Vinson & Elkins LLP as a senior associate in that firm's Energy Transactions, Real Estate, and Structured Finance practices.

Experience

  • Served as co-counsel in connection with financing of integrated methanol and ammonia production facility located on the Gulf Coast near Beaumont, Texas
  • Served as co-counsel in connection with financing of $200 million for crude oil terminal facility located on 200 acres in coastal Texas region
  • Serving as co-counsel for the lender to NGL storage company in connection with financing of a salt cavern crude storage facility
  • Served as co-counsel for the lender in connection with 250MW wind farm project with secured tax equity located on 25,000 acres in west Texas
  • Advise a foreign investor with diligence review of a potential investment in an LNG facility, including review of state and federal permitting for same
  • Serve as lead local counsel to a national bank in connection with a $96 million construction loan for a retail and apartment unit condominium
  • Serve as lead local counsel for a private equity company in connection with acquisition and financing of a $100 million office building portfolio
  • Serve as lead local counsel in connection with receivables financing
  • Serve as counsel to a major energy infrastructure company in connection with condemnation for pipeline right of way projects
  • Serve as lead local counsel in connection with the $470 million refinancing of a 30-inch natural gas cross-border pipeline project
  • Advised project lenders on two separate cross-border pipeline projects for the export of US natural gas into Mexico, including border crossings into Mexico
  • Represented a national bank in connection with the foreclosure of portfolio of apartment complexes
  • Served as lead local counsel to a solar development company in connection with site acquisition (fee, lease, options, and/or easements), including advice regarding surface rights, mineral issues, title, and survey matters
  • Served as co-counsel in connection with the construction, development, financing, and permitting of a $1 billion natural gas pipeline expansion
  • Served as co-counsel for the lender to a crude oil storage company in connection with financing of a salt cavern crude storage facility
