Mallory Wynne is a partner in the Corporate Practice Group and a member of the commercial transactions team, where she advises clients on a range of contracts and agreements.
Mallory provides transactional counsel to clients operating across multiple industries, including representing clients in markets that are closely tied to the economy of the US Gulf Coast, such as maritime, energy, oil and gas, construction, and government contracting.
Mallory regularly advises clients on master service and maintenance agreements; fabrication, transportation, and installation contracts; rig repair and dry-docking agreements; and engineering, procurement, and construction (EPC) contracts. These agreements often involve the building, operation, and maintenance of major corporate assets such as vessels, rigs, power plants, bridges, pipelines, and other large equipment.
She also reviews and drafts charter party contracts, sales agreements, drilling contracts, vendor supply contracts, and a wide range of joint venture, project teaming, and related alliance agreements. Mallory provides guidance on matters involving confidentiality and non-compete agreements, insurance coverage, choice of law, and dispute-resolution clauses. Mallory also has experience handling a variety of commercial disputes, including issues related to insurance coverage, indemnity disputes, construction litigation, maritime lien disputes, vessel seizures and attachments, maritime personal injury cases, property damage cases, and vessel collisions and allisions. She has extensive experience with incident response investigations in the aftermath of offshore losses and personal injuries.
With years of experience as a trial and appellate litigator in federal and state courts, as well as in arbitration and mediation, Mallory has unique insight into the issues that can give rise to commercial disputes after a contract has been executed. She also understands the tactics of opposing counsel in determining the feasibility of potential litigation. Mallory draws on this knowledge to develop, negotiate, and document clear, defensible contract terms that help minimize exposure and avoid disputes.
