Jones Walker represented Sterling Infrastructure, Inc. (NASDAQ: STRL) in its acquisition of CEC Facilities Group, LLC, which closed on September 1, 2025. The purchase price paid at closing totaled $505 million, consisting of $450 million in cash (subject to certain adjustments) and $55 million in Sterling Common Stock. Additionally, CEC has an earn out opportunity upon achieving certain operating income targets through December 31, 2029. The transaction was led by M&A partner Allison Bell with associates Zach Montgomery and John Zimmer, alongside critical contributions from partners Thomas Kimball, Alex Layfield, Mark Cunningham, Jennifer Kogos, Tim Brechtel, Trevor Wilson, Amy Scafidel, and Alex Prochaska; special counsel Mary Ellen Jordan; and associates Rachel Solino and Holland Aucoin.
